You receive your UAE trade licence, incorporation documents and company registration details. Then somebody asks a surprisingly old-fashioned question: “Where is your company stamp?”

It can feel strange when so much of UAE business setup now happens online. Companies can receive electronic licences, submit applications through digital portals and sign many documents electronically. Yet the physical company stamp UAE businesses have used for years has not disappeared.

The reason is fairly simple. A company stamp is not subject to a blanket federal rule that says every UAE business must stamp every document. Instead, its use depends on your jurisdiction, the organisation you are dealing with and the transaction you are completing.

Some free zones expressly require or provide company stamps. Certain banks still have forms containing a “Company Stamp” field. Suppliers, customers and procurement departments may also request stamped documents.

So, should you still get one? For most companies, having a stamp available remains practical even when you rarely use it.

Is a Company Stamp Required in the UAE?

There is no single rule under the UAE federal Commercial Companies Law stating that every company must place a physical rubber stamp on every contract, invoice or business letter.

Federal Decree-Law No. 32 of 2021 on Commercial Companies instead requires company-issued contracts, documents, communications and application forms to carry details such as the company name, legal form, registration number and address. The legislation does not say those details must be applied using a physical stamp.

However, individual jurisdictions can have their own procedures.

DMCC is a good example. Its current administrative services page states that a company stamp is a mandatory requirement for DMCC members and offers a stamp service through its member portal. DMCC's stamp guidance uses the licensed company name and provides designs containing the Arabic and English company names with “Dubai, U.A.E.”

JAFZA also requires signed and stamped company documents for certain processes. Its guidance states that manual application forms, request letters and company NOCs should be placed on company letterhead, signed by the authorised person and stamped.

When Is a Company Stamp Used?

A company stamp usually serves as an additional way of identifying a business and showing that a document has passed through an authorised company process.

You may encounter it in several situations.

Contracts and agreements

Some companies expect both an authorised signature and a company stamp on commercial agreements.

A stamp can support the appearance and internal authentication of the document. It does not mean you should assume that an unstamped contract is automatically invalid. Contract validity depends on the applicable law, the agreement itself, the authority of the person signing and the circumstances of the transaction.

Invoices

Many UAE businesses still stamp invoices because customers ask for it. This is often a commercial requirement rather than a general VAT requirement.

Federal Tax Authority guidance sets out the information that a valid tax invoice must contain. A physical company stamp is not listed as a universal tax-invoice requirement. You can check current guidance through the Federal Tax Authority VAT guidance library.

A customer can still have its own procurement rules. Abu Dhabi Islamic Bank's supplier invoice guidance, for example, requires specified invoices to carry the company stamp and authorised signature. Tabreed's supplier instructions also require the company stamp on invoices submitted to it.

So if a customer rejects your unstamped invoice, that does not necessarily mean UAE VAT law made the stamp mandatory. It may simply be the customer's payment policy.

Company letters and declarations

Authorisation letters, NOCs, confirmations and resolutions are another common area.

JAFZA, for instance, asks for signed and stamped documentation in several procedures, including certain authorisation letters and company documents.

Banking documents

  • Banks are probably the main reason new companies still arrange a stamp soon after incorporation.
  • The requirement varies considerably, which we will cover below.

Company Stamp vs Digital Signature

A physical stamp and a digital signature do different jobs.

A physical company stamp places the business name or other company information onto a paper document. In practice, it is often used beside the signature of an authorised manager, director or other company representative.

A proper electronic or digital signature uses an electronic authentication process to identify the person signing and connect that person with the electronic document.

The UAE has a formal legal framework for this.

Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services states that an electronic document does not lose its legal force or enforceability merely because it is electronic. The framework also regulates electronic signatures, electronic seals and trust services.

The official UAE Government guide explains that the legislation gives legal recognition to electronic transactions and regulates electronic documents, signatures and seals. Read the UAE Electronic Transactions and Trust Services guidance.

The UAE Evidence Law also recognises electronic evidence including electronic signatures and electronic seals. However, a digital signature can provide identity verification and document-integrity controls that a simple stamp image cannot.

Do UAE Banks Require a Company Stamp?

Sometimes. Do not assume that every bank or every banking transaction follows the same rule.

For example, an Emirates Islamic specimen-signature form specifically includes a field for the company's rubber stamp. Certain ADIB corporate forms also ask for an authorised signature and company stamp. Other banking processes are increasingly digital.

Emirates NBD's current online business-account requirements list items such as a valid trade licence, incorporation documents, identity documents, tenancy evidence and bank statements. Its published mandatory-document list does not separately identify a company stamp.

Mashreq NEO BIZ similarly lists the trade licence, MOA, board resolution or POA where applicable, address proof, identity documents and bank statements among its common account-opening documents. Yet separate Mashreq corporate forms still contain signature and stamp requirements.

Bank requirements depend on the bank, service and document.

A digital account-opening application may not ask you to upload a stamped document. A later request involving signatory changes, trade services, financing or another manual instruction could require one.

Before visiting a branch or sending documents, check the current form for that exact transaction.

What Information Should a Company Stamp Include?

Keep it simple.

The most common information includes:

  • Your exact registered company name

  • Arabic company name where applicable

  • English company name

  • Emirate or registered jurisdiction

  • “UAE” or “U.A.E.”

  • Licence or registration number where required or useful

Your company name should match the licence exactly. If the licence says “ABC Technical Services L.L.C.”, avoid shortening it to “ABC Technical” on the stamp.

DMCC's standard designs are a useful reference. Its company stamps show the Arabic and English company names with “Dubai - U.A.E.” and treat details such as address, telephone number and P.O. Box as optional.

You generally do not need to cram your website, phone number, email address, TRN, full street address and logo into a small rubber stamp unless a particular process calls for them.

Pay particular attention to spelling, legal suffix and Arabic text.

If your company changes its trade name or legal form, replace the old stamp instead of continuing to use outdated company details.

Is a Company Stamp Legally Binding?

A stamp by itself should not be treated as proof that every document bearing it is automatically legally binding.

The real question is who approved the document and whether that person had authority to act for the company.

Consider a contract stamped by an employee who has no authority to commit the business. The presence of a company seal does not magically solve the authority issue.

Likewise, a properly authorised agreement does not automatically become invalid simply because there is no physical rubber stamp, unless the applicable law, contractual terms, authority or required procedure says otherwise.

This principle becomes clearer when looking at ADGM company rules. ADGM's Companies Regulations state that a company may have a common seal but need not have one. They also provide methods for company documents to be executed through authorised signatures without relying on a seal.

The exact legal position can vary according to jurisdiction and document type. High-value contracts, powers of attorney, financing documents, notarised papers and regulated transactions deserve particular care.

Best Practices for Using a Company Stamp

Treat your company stamp as a controlled business item rather than something anyone in the office can use.

First, decide who is authorised to hold and use it. This might be the company manager, director, finance head or an approved administrative employee.

Second, use it together with an authorised signature whenever the receiving organisation requests both. A stamp should not become a substitute for checking signing authority.

Third, keep the physical stamp secure. DMCC's own guidance warns companies about the consequences of third-party misuse of company stamps.

You should also control digital copies. A transparent image of your company stamp used on Dubai documents can be copied far more easily than the physical stamp itself. Do not circulate the file through large WhatsApp groups, shared folders or unrestricted email chains.

For companies handling a high volume of approvals, keep a simple record of who used the stamp, on which document and on what date.

Finally, retire the stamp immediately if your company name, legal form or other printed information changes.

So, Does Your UAE Company Still Need a Stamp?

For many businesses, yes, it is still sensible to have one.

That does not mean you should stamp every document automatically.

The UAE is moving further towards electronic documents, online banking, UAE PASS authentication, electronic signatures and electronic seals. At the same time, physical stamps continue to appear in free-zone procedures, banking forms, supplier requirements and corporate administration.

The safest approach is practical: obtain a correctly prepared stamp after incorporation if your jurisdiction or business needs one, restrict who can use it and check the receiving organisation's requirements before stamping documents.
