If you are planning a crypto, blockchain or Web3 business in Dubai, IFZA can be a practical place to incorporate. The important part is understanding what the licence actually covers.
An IFZA crypto licence is not one all-purpose approval that lets you run an exchange, hold client crypto or provide brokerage services. IFZA handles the free-zone company and its approved business activities. Virtual asset activities in Dubai, outside DIFC, fall under the Virtual Assets Regulatory Authority, commonly called VARA.
This distinction affects your activity selection, setup cost, staff requirements and timeline. A blockchain software company may only need the correct IFZA business activity. A crypto exchange needs a Dubai company plus VARA authorisation before it can start providing exchange services.
What Is an IFZA Crypto Licence?
“IFZA crypto licence” is a common term for an IFZA free-zone company established for crypto, blockchain, Web3 or virtual-asset-related activities.
IFZA’s official activity catalogue separates non-regulated Green activities from regulated Amber activities. Amber activities require approval from the relevant Dubai or UAE federal authority.
For virtual asset businesses, that external regulator is often VARA. VARA states that a business carrying out regulated VA activities in or from Dubai, excluding DIFC, must obtain the appropriate approval before commencing operations.

What Crypto Activities Can You Set Up Through IFZA?
Your regulatory route depends on what the company actually does.
Business Model | Typical Dubai Regulatory Position |
Blockchain or DLT software development | May operate under a technology activity if no regulated VA service is provided |
Web3 or blockchain consultancy | May fit a professional or technology activity depending on the service |
Proprietary crypto trading using company funds | Correct commercial activity plus VARA NOC may be required |
Virtual asset advisory for clients | VARA VASP licence required |
Crypto brokerage or client-facing OTC services | VARA Broker-Dealer licence required |
Cryptocurrency exchange | VARA Exchange Services licence required |
Holding client virtual assets | VARA Custody Services licence required |
Crypto lending and borrowing | VARA licence required |
Managing client virtual asset portfolios | VARA Management and Investment Services licence required |
Crypto transfer and settlement services | VARA licence required |
Certain token issuance activities | VARA issuance requirements apply |
VARA currently recognises eight regulated VA activity categories: Advisory, Broker-Dealer, Custody, Exchange, Lending and Borrowing, Management and Investment, Transfer and Settlement and Category 1 VA Issuance.
Proprietary trading is treated differently. VARA states that VA proprietary trading requires a No Objection Certificate. Large proprietary traders can also face separate registration requirements.
DLT technology providers that do not carry out a regulated VA activity may voluntarily register with VARA. The moment the business starts providing services that fall within VARA’s regulated categories, the licensing position changes.
IFZA Crypto Licence Requirements
For a standard IFZA company with individual shareholders, IFZA currently lists documents such as:
Passport copy
Digital passport photograph
Application form containing UBO details
Emirates ID and UAE residence visa copy for UAE residents
Third-party approvals where the selected activity requires them
Corporate shareholders need additional paperwork, including a board resolution, constitutional documents, certificate of incorporation and valid trade licence.
A regulated crypto company needs a much larger compliance file. VARA reviews areas such as the business plan, beneficial owners, senior management, governance, financial resources and the exact services you intend to provide.
Staff and Compliance Requirements for a VARA-Regulated Business
A fully regulated VASP cannot operate as a paper company with no local compliance structure. VARA requires two Responsible Individuals who are full-time employees, sufficiently senior and either UAE residents or UAE passport holders. They must also receive VARA approval.
The Compliance Officer must have at least five years of relevant compliance experience, be a full-time employee and be resident in the UAE or hold a UAE passport.
VARA also requires an MLRO with at least two years of AML/CFT experience.
That means the budget for a regulated crypto company goes far beyond the headline free-zone licence price.
How Much Does an IFZA Crypto Licence Cost?
IFZA does not publish one fixed all-inclusive price covering every company. The quotation depends on the activities, visa allocation, workspace and other setup requirements.
Current market quotations commonly put a basic zero-visa IFZA company around AED 12,900, but this should be treated as an estimate rather than an official fixed tariff. Once VARA regulation applies, the cost changes considerably.
VARA Activity | Application Fee | Annual Supervision Fee |
Advisory Services | AED 40,000 | AED 80,000 |
Transfer & Settlement Services | AED 40,000 | AED 80,000 |
Broker-Dealer Services | AED 100,000 | AED 200,000 |
Custody Services | AED 100,000 | AED 200,000 |
Exchange Services | AED 100,000 | AED 200,000 |
Lending & Borrowing Services | AED 100,000 | AED 200,000 |
Management & Investment Services | AED 100,000 | AED 200,000 |
Category 1 VA Issuance | AED 100,000 | AED 200,000 |
These are VARA regulatory fees. They do not include IFZA incorporation, office space, staff salaries, technology, audits, professional fees or banking costs.
Paid-Up Capital Can Be Significant
A normal IFZA company may not require paid-up capital simply because it is incorporated in the free zone. A VARA-regulated VASP is different.
For example, Advisory Services currently require AED 100,000 in paid-up capital.
For Exchange Services, the requirement can be the higher of AED 800,000 or 15% of fixed annual overheads where an approved external custody arrangement applies. In other cases, it can rise to the higher of AED 1.5 million or 25% of fixed annual overheads.
Check the latest figures through VARA’s official paid-up capital requirements before preparing your budget.
How to Set Up an IFZA Crypto Company
- Define What the Business Will Actually Do
Start with the operating model. Who are your customers? Will you control client crypto? Will you execute transactions? Are you trading only your own funds? Are you developing blockchain software for other companies?
“Blockchain development for overseas businesses” and “operating an exchange for customers” lead to very different licence requirements.
- Choose the Correct IFZA Activity
Match the activity on your licence to your contracts and revenue model.
Do not choose a broad IT or consultancy activity and assume it automatically covers virtual asset services. IFZA’s own terms state that businesses must operate within the activities listed on their licence and obtain external approvals where required.
- Confirm Whether VARA Applies
If the proposed service falls within VARA’s regulatory perimeter, you need to follow its approval process.
New VASP applicants go through a two-stage process. Stage one involves an Initial Disclosure Questionnaire submitted through the relevant Dubai free zone or DET. VARA reviews the proposed activity, business plan, ownership and management details.
- Prepare the Company and Regulatory File
Submit the IFZA shareholder documents, UBO information and business details. Regulated applicants should also prepare a detailed business plan, ownership structure, compliance framework, financial information and information about senior management.
Having these documents aligned from the beginning also helps later when banks conduct KYC.
- Obtain Approval to Incorporate Where Required
If VARA accepts the initial application, it can issue an Approval to Incorporate.
You can then complete the company incorporation and operational setup, including office arrangements and hiring. However, an Approval to Incorporate does not allow the business to start providing regulated virtual asset services.
- Complete IFZA Incorporation
The standard IFZA process includes submitting the documents, receiving the legal forms, obtaining licence approval, signing the MOA/AOA and receiving the incorporation documents.
- Complete the VARA VASP Licence
Where full regulation applies, the company must satisfy VARA’s relevant rulebooks covering governance, capital, AML/CFT, risk management, technology and activity-specific requirements.
Do not onboard clients or provide the regulated service until the required licence is active.
- Arrange Banking and Tax Compliance
A company licence does not guarantee a UAE bank account.
Banks will normally want to understand the shareholders, source of funds, expected transaction flows, counterparties and the reason the business is operating in crypto. Keep those details consistent with the licence and business plan.
Your company also needs to consider bookkeeping and UAE corporate tax. Free-zone registration does not automatically mean that every type of income qualifies for a 0% corporate tax rate. Nexture’s UAE corporate tax guide covers the wider rules.

Common Mistakes to Avoid
One common error is describing an IFZA commercial licence as a VARA licence. They cover different parts of the setup.
Another is choosing a vague activity because you plan to add services later. Holding customer assets, arranging trades, managing virtual assets or giving regulated advice can change your licensing requirements.
Be careful with marketing too. VARA’s current marketing rules cover promotions relating to virtual assets in or targeting the UAE and apply more broadly than the VASP licensing rules themselves.
You should also budget for staff, capital and compliance before incorporation. A cheap company package does not make a regulated exchange or brokerage cheap to operate.
Conclusion
An IFZA crypto licence can provide a practical company structure for blockchain, Web3 and certain virtual-asset related businesses in Dubai. The licence you need, however, depends on what the company actually does.
Technology activities can follow a simpler route where no regulated VA service is provided. Proprietary trading has its own VARA NOC requirements. Client-facing activities such as exchange, brokerage, custody, lending, asset management and transfer services require the appropriate VARA authorisation before operations begin.
Start by defining the business model. Once you know exactly how the company will make money and whether it will handle client virtual assets, you can determine the correct IFZA activity, VARA route, staffing requirements and realistic setup budget.
Frequently Asked Questions
Does IFZA issue a crypto licence?
IFZA can issue a company licence covering approved crypto, blockchain, technology or related business activities. Regulated virtual asset services require the applicable VARA approval in addition to the commercial licence.
Can an IFZA company operate a crypto exchange?
An IFZA commercial licence alone is not enough. Exchange Services fall within VARA’s regulated activities and require a VASP licence before the business starts operating.
Can an IFZA company trade crypto with its own money?
Proprietary virtual asset trading follows a different regulatory route from serving clients. VARA currently requires a No Objection Certificate and large proprietary traders can face additional registration requirements.
Can a foreigner own 100% of an IFZA company?
Yes. IFZA states that its free-zone structure permits 100% foreign ownership of commercial enterprises.
Is a flexi-desk enough for a regulated crypto company?
Do not assume that a basic workspace package will meet the operational needs of a regulated VASP. VARA’s licensing process expects applicants to complete appropriate operational setup, staffing and compliance arrangements before receiving the full licence.
How long does an IFZA crypto licence take?
A standard IFZA incorporation can move relatively quickly once the activity and documents are accepted. A regulated VASP application takes longer because VARA carries out a separate review and can request further information before granting the full licence.
