Tax-Deductible Expenses Under UAE Corporate Tax: What Businesses Can Claim

Running a business comes with a long list of expenses. Office rent, employee salaries, software subscriptions, advertising, professional fees and travel can quickly add up. Under UAE Corporate Tax, many of these costs can reduce the profit on which your business pays tax.

But recording an expense in your accounts does not automatically make it deductible. The basic rule is fairly straightforward. A business expense is generally deductible when it is incurred wholly and exclusively for the purposes of the business and is not capital in nature. Costs connected with exempt income, personal use or certain specifically restricted categories may have to be added back when calculating taxable income.

What Are Tax-Deductible Expenses Under UAE Corporate Tax?

Tax-deductible expenses are business costs that you are allowed to subtract when determining taxable income.

Corporate Tax calculations normally begin with the accounting profit or loss shown in your financial statements. You then make the adjustments required under the Corporate Tax Law. These may include adding back non-deductible expenditure, adjusting related-party transactions or removing expenses connected with exempt income. FTA UAE

A simple example makes this easier.

Suppose your business records:

Revenue: AED 1,500,000
Allowable business expenses: AED 800,000
Accounting profit: AED 700,000

If all AED 800,000 of expenses are deductible and there are no other tax adjustments, your starting taxable profit would be AED 700,000.

If AED 40,000 of the expenses were non-deductible, that amount would generally be added back. Your taxable income could then become AED 740,000 before applying any other adjustments or reliefs.

This is why expense classification matters when preparing your UAE Corporate Tax return.

Which Business Expenses Are Generally Tax Deductible?

There is no single short list that covers every possible business expense. The purpose of the expenditure and the facts around it matter.

That said, normal operating costs can generally qualify when they have a genuine business purpose and are properly recorded.

  1. Employee Salaries and Benefits

Employee-related expenses are usually deductible when the employees genuinely work for the business and the amounts relate to business activities.

    These may include:

    • Basic salaries

    • Employment allowances

    • Bonuses

    • Employer-paid benefits

    • Staff training

    • Recruitment costs

    • Business-related employee travel

    • Staff events and employee welfare expenses

The treatment of employee entertainment is particularly useful to understand.

FTA guidance explains that genuine employee-related expenditure, such as staff parties, team events, away-days and performance rewards, can be fully deductible where it is incurred wholly and exclusively for the business. This differs from entertainment provided to customers or other external business contacts.

    2. Office Rent and Premises Costs

Rent paid for an office, warehouse, retail unit or other premises used for business activities will generally be a business expense.

Associated operating costs may also qualify, such as:

    • Electricity and water

    • Internet services

    • Office cleaning

    • Repairs and routine maintenance

    • Security services

    • Building service charges where applicable

The key question remains whether the expense relates to the business.

If a property or facility is partly used for personal purposes, you cannot simply claim the whole cost. The business portion needs to be identified using a fair and reasonable method. Article 28 specifically provides for apportionment where expenditure serves more than one purpose.

  2. Marketing and Advertising Costs

Normal advertising expenditure can generally be deductible when it supports the taxable business.

    This can include spending on:

    • Digital advertising

    • Search engine marketing

    • Website maintenance

    • Social media campaigns

    • Branding

    • Promotional materials

    • Trade exhibitions

    • Marketing agencies

    • Public relations services

For example, if your Dubai consultancy spends AED 60,000 on online advertising to attract clients, the cost would normally have a clear business connection.

Keep invoices, contracts and payment records. They become important if the FTA later asks you to justify the expense during a review or tax audit in the UAE.

  3. Professional and Consultancy Fees

Businesses regularly pay third parties for specialist services. These expenses may generally be deducted when they relate to business operations.

    Examples include:

    • Accounting fees

    • Audit fees

    • Legal services

    • Tax advisory fees

    • IT consultants

    • Business consultants

    • Recruitment agencies

    • Technical specialists

There is an extra consideration when the consultant or service provider is related to the company.

Transactions with Related Parties must follow the arm's length principle. In simple terms, the price should be consistent with what independent parties would agree under comparable circumstances.

  4. Payments to Owners, Directors and Other Connected Persons

Paying a director, shareholder or another Connected Person does not automatically mean the expense is disallowed. The problem arises when the payment exceeds the market value of the actual service or benefit provided.

Under Article 36, a payment to a Connected Person is deductible only to the extent that it corresponds to the market value of what that person provides and the expense is incurred wholly and exclusively for the business.

Suppose a company pays its shareholder-director AED 500,000 for management services but comparable market remuneration for the role is AED 250,000. The company may need to justify the difference before treating the entire AED 500,000 as deductible.

This becomes especially important for family-owned companies and groups with transactions between related entities. Nexture's guide to Corporate Tax grouping in the UAE explains some of the wider issues that can arise within company groups.

  5. Business Travel Expenses

Flights, hotels, taxis and other travel costs can normally qualify when the trip has a genuine business purpose.

    Examples include travelling to:

    • Meet a client

    • Visit a supplier

    • Attend a trade exhibition

    • Inspect a business location

    • Attend work-related training

    • Negotiate a commercial contract

    Personal holidays are different.

If a business owner combines a five-day business trip with a further five days of personal travel, the personal portion should not simply be treated as a company deduction. Mixed-purpose expenditure needs to be apportioned on a reasonable basis.

  6. Software, Subscriptions and Technology Expenses

Modern companies can easily spend thousands of dirhams each month on digital tools.

    Normal operating subscriptions may include:

    • Accounting software

    • CRM platforms

    • Cloud storage

    • Cybersecurity tools

    • Video conferencing software

    • Design software

    • Project management systems

    • Industry databases

Where these services are used for the business, the related operating costs can generally form part of deductible expenditure.

The treatment may differ where a business purchases or develops a significant long-term asset that must be capitalised under the applicable accounting standards.

Are Capital Expenses Tax Deductible?

Buying an asset and paying an ordinary operating expense are not always treated in the same way. Article 28 says expenditure must not be capital in nature to qualify for an immediate deduction. However, this does not mean a business gets no tax recognition for capital assets.

FTA guidance states that while the capital expenditure itself is not generally deducted immediately, depreciation of capital assets may be deductible for Corporate Tax purposes in line with the applicable accounting treatment and tax rules.

For example, buying machinery for AED 500,000 is different from paying AED 500,000 for ordinary annual operating services. The machinery may provide benefits over several years, so the accounting expense may arise through depreciation over its useful life.

How Are Client Entertainment Expenses Treated?

This is one of the most commonly misunderstood tax-deductible expenses under UAE Corporate Tax. The Corporate Tax Law generally allows a 50% deduction for entertainment, amusement or recreation expenditure incurred when entertaining customers, shareholders, suppliers or other business partners.

This may cover:

  • Restaurant meals

  • Accommodation

  • Transportation

  • Admission fees

  • Entertainment facilities

  • Recreation expenses

Suppose you take clients to a business dinner costing AED 4,000.

If the expense falls within the entertainment rules and otherwise meets the business-purpose test, generally only AED 2,000 would be deductible.

Office refreshments provided during normal business meetings can be treated differently. The FTA's Taxable Income Guide explains that incidental food and refreshments provided in an office setting can generally remain fully deductible where they are connected with the business. A restaurant meal provided to a client would ordinarily fall within the 50% entertainment restriction.

Which Expenses Are Not Deductible Under UAE Corporate Tax?

Some expenses are expressly excluded. Article 33 of the Corporate Tax Law states that deductions are not available for certain items, including:

Expense

General Corporate Tax Treatment

Bribes and illicit payments

Not deductible

Corporate Tax itself

Not deductible

Dividends and profit distributions to owners

Not deductible

Most government fines and penalties

Not deductible

Recoverable input VAT

Not deductible again

Foreign income tax imposed on the taxable person

Not deductible

Donations to non-qualifying entities

Not deductible

Personal business-owner withdrawals

Not deductible

Client entertainment

Generally 50% deductible

Business expenses connected with exempt income

Not deductible

The law provides an important exception for penalties. Amounts awarded as compensation for damages or breach of contract are not treated in the same way as punitive fines and penalties.

Are Donations Tax Deductible?

Sometimes. Donations, grants or gifts made to an organisation that is not a Qualifying Public Benefit Entity are not deductible.

A donation to an approved Qualifying Public Benefit Entity can qualify for deduction, subject to the applicable rules. The FTA specifically confirms this treatment in its guidance on public benefit entities.

Before claiming a large charitable contribution, check the entity's qualifying status rather than assuming every registered charity receives the same Corporate Tax treatment.

What Records Should You Keep for Tax-Deductible Expenses?

A business expense is much easier to defend when there is a clear record behind it.

Keep documents such as:

  • Supplier invoices

  • Tax invoices

  • Contracts

  • Purchase orders

  • Bank statements

  • Payment receipts

  • Employee expense claims

  • Travel documentation

  • Business-purpose notes

  • Related-party agreements

  • Asset registers

  • Loan agreements

Corporate Tax records generally need to be retained for at least seven years after the end of the relevant Tax Period. Proper records also make your annual filing easier and help if the FTA asks questions later. Nexture's Corporate Tax Return Filing guide covers the documents and filing process in more detail.

Common Mistakes Businesses Make With Tax Deductions

The first mistake is treating every accounting expense as automatically deductible. Corporate Tax requires adjustments.

The second is putting personal expenses through the company. If an owner uses a company card for personal shopping, holidays or family expenses, those amounts do not become deductible merely because they appear in the accounts.

Another common error involves client meals. Businesses sometimes deduct 100% even though the 50% entertainment restriction applies.

Payments to shareholders and directors also deserve attention. You should be able to explain the service provided and show that the amount is commercially reasonable.

Finally, do not wait until the tax return deadline to separate deductible and non-deductible costs. Classify expenses correctly throughout the year. It saves a great deal of work when the accounts are closed.

Conclusion

Understanding tax-deductible expenses under UAE corporate tax rules can make a meaningful difference to your final taxable income.

Normal costs such as salaries, rent, professional services, marketing, business travel and software can generally be deducted when they genuinely relate to your business. Other costs have special rules. Client entertainment is commonly limited to 50%, interest may be restricted and payments to Connected Persons need to reflect market value.

Some expenses cannot be claimed at all, including Corporate Tax itself, bribes, most fines, owner profit distributions and donations to organisations that do not qualify under the Corporate Tax rules.

The safest approach is simple: keep clean records, separate private spending and review unusual or high-value expenses before filing. If your accounting profit contains non-deductible items, make the required adjustments before submitting the tax return.

Frequently Asked Questions

What expenses are tax deductible under UAE Corporate Tax?

Expenses incurred wholly and exclusively for your business are generally deductible unless the Corporate Tax Law specifically restricts or disallows them. Examples can include salaries, rent, utilities, marketing, professional fees, business travel and normal operating expenses.

Can I deduct 100% of client entertainment expenses?

Generally, no. Qualifying entertainment expenditure incurred for customers, shareholders, suppliers and other business partners is generally subject to a 50% deduction limit.

Are employee entertainment expenses fully deductible?

They can be. Genuine employee-related costs such as staff parties, team events and performance rewards can generally be fully deductible when they are incurred wholly and exclusively for the business.

Is office rent deductible for UAE Corporate Tax?

Office rent used for the business will generally be deductible. If premises are partly used privately, you may need to apportion the cost and claim only the business-related portion.

Are salaries paid to company owners deductible?

A payment to an owner or other Connected Person may be deductible where it relates to genuine services, is incurred for the business and does not exceed the market value of the service or benefit provided.

Are government fines tax deductible?

Most fines and penalties are not deductible. However, amounts paid as compensation for damages or breach of contract can receive different treatment under Article 33.

Can a business deduct Corporate Tax payments?

No. UAE Corporate Tax itself is specifically listed as a non-deductible expense.

Is depreciation deductible under UAE Corporate Tax?

Capital expenditure is generally not deducted immediately, but depreciation or amortisation recognised under the applicable accounting standards may be deductible, subject to the Corporate Tax rules.

Do businesses need invoices to claim expenses?

You should maintain sufficient evidence supporting the expense, its amount and its business purpose. Invoices, contracts, bank records and other supporting documents are important if the FTA examines the deduction.
