UAE Trade Licence Amendments: How to Change Activities, Partners and Company Details

A UAE trade licence is not something you obtain once and forget about. Businesses change. You may add a service, bring in an investor, move offices, change your trade name or restructure ownership. When that happens, your licence and related company records should be updated too.

The process depends on where the company is registered. Dubai mainland companies deal with the Department of Economy and Tourism (DET), Abu Dhabi businesses use ADDED and TAMM, while free zone companies follow their own authority’s rules. Fees, documents and approvals can therefore differ.

This guide explains how a UAE trade licence amendment normally works and what else you may need to update after approval.

Key Takeaways

  • A licence can usually be amended to change activities, partners or shareholders, trade name, address, manager, capital or other registered details.

  • Regulated activities may require approval from another government body before the licensing authority accepts the change.

  • Ownership changes can require an amended MOA or AOA plus updated shareholder and beneficial owner records.

  • Relevant beneficial owner and shareholder changes generally need to be updated with the registrar within 15 days.

  • VAT, Excise Tax and Corporate Tax registrants must notify the Federal Tax Authority of relevant tax-record changes within 20 business days.

  • Amendment fees vary by jurisdiction and by the type of change.

What Is a UAE Trade Licence Amendment?

A UAE trade licence amendment is the formal process used to change information already registered against an existing business licence.

Dubai’s official Invest in Dubai trade licence amendment service covers changes such as business activities, capital and trade name. Dubai DET also lists licence amendment among its official mainland business licensing services.

If you are still deciding between jurisdictions, Nexture’s Dubai mainland vs free zone business setup guide explains the practical differences.

What Business Details Can You Change?

Common amendments include adding or removing activities, changing shareholders, revising ownership percentages, changing a trade name, moving address, appointing a new manager or altering capital or legal form.

Not every change works with every licence. The UAE Ministry of Economy and Tourism business setup guidance states that the legal form must be consistent with the economic activity and some activities require prior approval from the relevant government authority. Businesses must also maintain an approved business address.

Changing or Adding Business Activities

Adding an activity is one of the most common amendments. A consultancy may add another professional service. A trading company may start selling a new product category. An online business may move into a regulated sector.

Start by identifying the exact activity accepted by your licensing authority. Do not rely only on broad descriptions such as “consulting” or “trading.”

Free zones have their own activity rules. The official DMCC licence amendment guidelines, for example, allow activity amendments through the member portal. Regulated activities may require a third-party NOC. DMCC also says that added activities must fall under the same licence type. If they do not, an additional licence may be required. Some activities must remain standalone.

Changing Partners, Shareholders or Ownership Percentages

Ownership amendments affect more than the wording on the licence.

A shareholder may sell shares, a new investor may join or one partner may leave. The authority can request identification documents, a shareholder resolution, transfer documents and an amended Memorandum or Articles of Association where applicable.

Federal company rules require amendments to a company’s MOA to be entered in the commercial register. UAE beneficial owner rules also require covered legal persons to keep partner, shareholder and beneficial owner records accurate.

Cabinet Decision No. 109 of 2023 requires changes in partner or shareholder records to be updated within 15 days of the company learning about the change. The same framework requires amendments to covered data to be submitted to the registrar within 15 days. It applies to licensed legal persons including commercial free zones, subject to stated exemptions such as financial free zones.

A share transfer should therefore be handled as a corporate records update, not simply a new licence printout.

If the change involves bringing in an overseas investor, Nexture’s guide on starting a business in the UAE as a non-resident provides useful ownership and setup context.

Changing the Trade Name, Address or Manager

A trade name change normally starts with checking and reserving the proposed name. Once approved, the licence and any company documents containing the old name may need amendment.

An address change is linked to tenancy records. Dubai mainland businesses generally use Ejari for registered leases. Free zones may ask for a lease agreement, unit details or operational fitness documents depending on the activity.

Manager and authorised signatory changes can also affect immigration, banking and tax records. The ICP establishment card amendment service covers changes such as trade name, ownership and adding or removing a partner.

UAE Trade Licence Amendment Process

  1. Confirm the Amendment With Your Licensing Authority

Use the authority that issued the licence. Dubai mainland companies can use Invest in Dubai, Abu Dhabi businesses can use TAMM and free zone companies should use their authority’s portal.

  2. Check for External Approval

Activities in regulated sectors can require a separate regulator’s approval. Confirm this before paying amendment fees.

  3. Prepare the Legal Documents

Simple activity changes may need limited paperwork. Ownership, capital, legal form and trade-name changes can require resolutions and amended constitutional documents.

  4. Submit, Pay and Review the Amended Licence

Submit the request, pay the applicable fees and answer any authority queries. Once approved, check the new licence carefully before using it.

How Much Does a UAE Trade Licence Amendment Cost?

There is no single UAE-wide amendment fee. Dubai mainland costs depend on the amendment and approvals, while Ajman DED states that its fees vary according to the type of modification.

Free zones publish their own charges. DMCC currently lists AED 1,515 for a licence activity amendment or addition, AED 4,515 for a company name change and AED 4,515 for a share transfer. A change to a shareholder’s name, nationality or address is listed at AED 2,015. DMCC states that fees can change and additional Knowledge and Innovation Dirham charges apply.

Treat these as DMCC examples, not UAE-wide prices.

How Long Does an Amendment Take?

Timing depends on complexity. A simple digital amendment can be quick, while a share transfer or regulated activity may take longer because of legal documents and external approvals.

DMCC lists two business days for its licence amendment service, excluding Operational Fitness Certificate processing. Ajman DED lists a 10-minute service delivery time once its requirements and approvals are complete.

Do not commit to a launch date or bank update until the amended documents have actually been issued.

What Should You Update After the Licence Changes?

The new licence may be only the first step.

The Federal Tax Authority Tax Records Amendment service requires registered taxpayers to report relevant changes within 20 business days. The FTA specifically lists changes to business name, principal address, activities, trade licence and authorised signatory details. The service is currently free.

Ownership and UBO records should also be updated where applicable. Depending on the amendment, you may need to revise your establishment card, bank KYC, customs registration, contracts, invoices and insurance records.

Nexture’s corporate PRO support can help coordinate licensing and other government-record changes when several systems are affected.

Common Mistakes to Avoid

A frequent mistake is starting a new activity before it appears on the licence. Another is completing a share transfer but leaving UBO or tax records unchanged.

Address changes can also cause trouble when the new premises do not suit the licensed activity. DMCC, for example, states that companies must ensure the activity can legally be carried out from the chosen property type.

Bank records matter too. If your trade name, shareholder structure or authorised signatory changes, update your bank’s KYC file promptly so the company documents remain consistent.

Conclusion

A UAE trade licence amendment is usually manageable when you plan the change before submitting it. The main point is to look beyond the licence itself.

A new activity may require regulatory approval. A shareholder change can trigger MOA, UBO, tax and banking updates. A new trade name can affect immigration records, invoices and contracts.

If several details are changing at once, Nexture can review your current licence, proposed amendment and jurisdiction before filing. That helps you identify the approvals and follow-up updates in advance rather than fixing mismatched records later.

Frequently Asked Questions

Can I add a new activity to an existing UAE trade licence?

Usually, yes, if the activity is permitted by your authority and compatible with the licence type and legal structure. Regulated activities may need external approval.

Do I need a new licence when I change partners?

Usually not. The change is commonly processed as a company and licence amendment, although the MOA or other corporate records may also need revision.

Can I amend an expired trade licence?

It depends on the authority. DMCC can consider an amendment on an expired licence with a justification letter and approval. Ajman DED states that an expired licence must be renewed with the amendment.

Does a Licence Amendment Affect Corporate Tax or VAT Records?

It can. If the amendment changes information held by the FTA, update the tax record within the current 20-business-day deadline.
