  1. Free Zone Limited Liability Company

    An FZ-LLC is a separate legal entity. Its shareholders may be individuals, corporate entities or a combination of both. It suits a new agency, fashion label, design studio or e-commerce company.

  2. Branch of an Existing Company

    A UAE company or foreign company can establish a branch in the DDA free zone. The branch remains legally dependent on its parent company and normally carries out activities connected with the parent’s business.

    A freelance licence lets an approved professional work independently under their own birth name rather than a separate brand name.

    DDA lists a permit fee of AED 7,500 plus AED 10 Knowledge Dirham and AED 10 Innovation Dirham per transaction. A one-year or two-year residence visa may be available separately through the GoFreelance route.

Documents Required for d3 Company Registration

For an individual shareholder setup, you will normally prepare:

  • Passport copies of shareholders, directors and the general manager

  • UAE residence visa page and Emirates ID where applicable

  • Proposed company names

  1. Confirm the activity

    Start with what the business will actually do and how it will earn revenue. Do not select a broad activity simply because it sounds close.

    Product design, product trading, manufacturing and marketing can sit under different permissions. Choosing the wrong wording may prevent you from invoicing for part of your work or importing the required products.

  2. Choose the legal structure

    Select an FZ-LLC, branch or freelance licence. Consider liability, ownership, staffing and future investors.

    An FZ-LLC usually provides more flexibility when you want a separate brand, several shareholders or employees. A freelancer licence may suit a designer, stylist or creative consultant working alone.

  3. Select Your Premises

    Choose a coworking desk, commercial office, retail unit, showroom, studio or another approved space. Your lease should suit the activity and planned visa count.

  4. Submit the Application

    Apply through the Free Zone Business Communities platform or work with the relevant partner relationship manager. Upload the documents and wait for provisional approval.

    Activities involving cosmetics, food, construction-related services or another regulated field may require approval from an additional authority.

  5. Pay the Invoice and Complete Registration

    DDA gives an estimated ten working days for provisional approval and two working days for registration once the application is complete.

    The deliverables include the incorporation certificate, commercial licence, director register and articles.

  6. Complete Post-Licence Tasks

    After incorporation, arrange:

    • Immigration and establishment registration

    • Investor and employee visas

Can a d3 Company Operate on the Dubai Mainland?

A d3 free-zone licence does not automatically authorise unrestricted operations outside the zone.

Dubai’s current framework allows a free-zone establishment to conduct activities elsewhere in the emirate after obtaining the relevant Department of Economy and Tourism licence or permit and the free-zone authority’s approval.

The available routes include:

  1. A branch located on the mainland

  2. A branch operating from the free-zone premises

  3. A temporary permit for specific mainland activities

Under Executive Council Resolution No. 11 of 2025, the annual fee for a branch operating out of the free zone is AED 10,000. A temporary permit costs AED 5,000 and may remain valid for up to six months.

Separate financial records must be maintained for activities conducted outside the free zone. Eligibility still depends on the approved activity list and any sector regulator.

Tax, VAT and Customs Rules

A d3 company falls within the UAE Corporate Tax system. Free-zone status does not create an automatic blanket exemption.

A Qualifying Free Zone Person may receive a 0% rate on Qualifying Income if all legal conditions are met. Other income may fall under the standard rules, so assess registration, filing, substance and transfer-pricing duties.
